Our client, a dynamic and growing organization, is seeking an experienced  Corporate Paralegal to join its legal team. In this role, you will provide legal and administrative support across various functions, working closely with in-house counsel to assist with corporate governance, contract management, compliance matters, and special projects. The ideal candidate will be proactive, detail-oriented, and capable of managing a diverse set of tasks to support smooth legal operations.

Key Responsibilities
- Contract Management: Support the legal team throughout the contract lifecycle, including tracking deadlines and renewals, redlining and proofreading, execution, and filing.
- Document Management: Handle the day-to-day operations of contract management software, legal databases, and document folders.
- Legal Document Preparation: Draft, revise, and maintain a variety of legal documents including contracts, templates, waivers/releases, memos, reports, presentations, and other ancillary documents.
- Legal Research & Analysis: Conduct legal research on statutes, regulations, and case law; track and analyze developments to support legal compliance.
- Corporate Records & Filings: Assist with the preparation, filing, and maintenance of corporate records and organizational documents for new and existing entities.
- Compliance Support: Update policies, templates, procedures, and compliance materials as needed; assist with privacy, data protection, and other regulatory matters.
- Intellectual Property: Support management and enforcement of trademark and copyright portfolios.
- Litigation & Due Diligence: Assist with litigation management, including document collection, discovery, and support for corporate transactions or other legal matters as required.
- Project Management: Develop project schedules, manage timelines, and provide regular updates on progress and outcomes.
- Interdepartmental Liaison: Coordinate with other departments to manage legal requests, provide updates, and respond to business inquiries.
- Administrative Support: Perform administrative tasks, including managing legal calendars, scheduling, data entry, and proofreading legal communications.
- Special Projects & Additional Support: Participate in special projects and any additional tasks as assigned by the legal team.

Essential Skills & Abilities 
- Strong Interpersonal Skills: Ability to interact effectively and professionally with all levels of personnel, from legal staff to executives.
- Analytical Abilities: Ability to review, analyze, and summarize legal documents and data accurately.
- Attention to Detail: Excellent proofreading skills to identify contextual, grammatical, and formatting errors.
- Confidentiality & Discretion: Maintain confidentiality and exercise sound judgment when handling sensitive information.
- Adaptability & Multi-tasking: Capable of managing multiple tasks under tight deadlines and adapting to shifting priorities.
- Ownership & Initiative: Demonstrate a strong sense of ownership for assigned tasks, with the ability to work independently and follow through on projects.

Qualifications
- Education & Experience: Bachelor’s degree and at least 5 years of experience as a corporate paralegal in a law firm or in-house legal department, or equivalent combination of education and experience.
- Technical Proficiency: Highly proficient in Microsoft Office Suite, PDF tools, and contract management/document software.
- Contract & Compliance Experience: Strong background in drafting, reviewing, and managing contracts, including redlining and ensuring compliance with legal obligations.
- Legal Knowledge: Understanding of legal concepts, research methods, corporate governance, and legal processes.
- Additional Experience Preferred: Experience with privacy regulations, data security, intellectual property, and corporate governance.
- Certification: Paralegal certification required.
